- Definitions & Interpretation
“Company” means Instyle LED Ltd, Company No. 08527607, registered at Unit G, The Croft, High Street, Whetstone, Leicestershire, LE8 6LQ.
“Customer” means the person or business purchasing Goods from the Company.
“Goods” means all LED lighting products supplied by the Company.
“Business Customer” means a customer acting wholly or mainly in the course of business.
“Consumer” means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
- Application of Terms
2.1 These Terms & Conditions apply to all sales of Goods by the Company and override any other terms proposed by the Customer.
2.2 Any terms submitted or referred to by the Customer are expressly excluded unless agreed in writing by a director of the Company.
2.3 These Terms apply to all contracts formed by telephone, email, purchase order or invoice.
- Formation of Contract
3.1 A quotation does not constitute an offer.
3.2 A contract is formed only when the Company issues a written order confirmation or dispatches the Goods.
3.3 The Company reserves the right to refuse or cancel any order prior to dispatch.
- Prices & Payment
4.1 Prices are exclusive of VAT unless stated otherwise.
4.2 Payment terms are as agreed at order. Where no terms are agreed, payment is due immediately upon invoice.
4.3 The Company reserves the right to charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 and recover reasonable debt recovery costs.
4.4 Title to the Goods shall not pass to the Customer until payment has been made in full.
- Delivery & Risk
5.1 Delivery dates are estimates only and time shall not be of the essence.
5.2 Risk in the Goods passes to Business Customers upon dispatch and to Consumers upon delivery.
5.3 The Company shall not be liable for delays caused by couriers or events beyond its reasonable control.
- Inspection & Acceptance
6.1 The Customer must inspect Goods upon receipt.
6.2 Any damage, shortages or defects must be notified by Business Customers within 48 hours and by Consumers within a reasonable time.
6.3 Failure to notify constitutes acceptance.
- Returns & Refunds
Business Customers
7.1 Bespoke or cut-to-length Goods are non-returnable and non-refundable.
7.2 Standard Goods may be returned only with prior written authorisation and must be unused, in original packaging and returned at the Customer’s cost.
7.3 Refunds, if agreed, exclude delivery charges.
Consumers
7.4 Consumers may cancel distance contracts within 14 days of receipt in accordance with the Consumer Contracts Regulations, unless an exception applies.
7.5 The right to cancel does not apply to bespoke or made-to-order Goods.
7.6 Refunds will be processed within 14 days of returned Goods being received.
- Installation & Use
8.1 All Goods must be tested before installation.
8.2 Installation must be carried out by a technically competent person in accordance with BS7671 and applicable regulations.
8.3 The Company accepts no liability for faults arising from incorrect installation, inadequate ventilation, overheating, unsuitable environments or poor workmanship.
- Warranty
9.1 Warranty periods apply from the date of delivery as follows:
LED Strip IP20: 5 years
LED Strip IP65/IP67: 2 years
LED Drivers: 5 years
LED Controllers & Receivers: 5 years
Aluminium Profiles: 5 years
Bespoke or non-standard products: 1 year
9.2 Warranty covers repair or replacement only.
9.3 Warranty is void if the Goods are modified, cut, soldered or altered, used with incompatible third-party components, IP-rated products are sealed by anyone other than the Company, or damaged by misuse, overheating or unsuitable installation.
9.4 Statutory consumer rights are not affected.
- Faulty Goods
10.1 Faulty Goods must be returned for inspection before replacement.
10.2 The Company does not cover labour costs, electrician fees, access equipment or consequential losses.
10.3 Where Goods are confirmed faulty, the Company will replace or refund the Goods only.
- Limitation of Liability
11.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
11.2 Subject to clause 11.1, the Company’s total liability to Business Customers is limited to the invoice value of the Goods.
11.3 The Company shall not be liable for loss of profit, loss of business or indirect or consequential loss.
- Advice & Specification
12.1 Any advice provided is given in good faith but without liability.
12.2 The Customer is responsible for ensuring Goods are suitable for their intended purpose.
- Overseas Orders
13.1 For orders outside the UK, all return and replacement delivery costs are borne by the Customer.
- Force Majeure
The Company shall not be liable for failure or delay caused by events beyond its reasonable control.
- Governing Law & Jurisdiction
These Terms are governed by the law of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
- Acceptance
By placing an order, the Customer confirms acceptance of these Terms & Conditions of Sale.
